The structure you choose affects your personal liability, your taxes, how you split ownership with co-founders, and whether you can raise money from investors. Getting it right at the start is far cheaper than restructuring later.
We guide you through the choice between an LLC, an S corporation election and a C corporation, handle the state filings, and draft the governing documents that keep partners aligned as you grow.

FAQ
LLCs are flexible and simple to run, which suits many creative businesses and agencies. C corporations — often formed in Delaware — are the standard for startups planning to raise venture capital or issue stock options. We’ll walk through your plans and recommend the right fit.
The California Secretary of State charges $70 to file LLC Articles of Organization and $20 for the Statement of Information. California LLCs and corporations also owe a minimum $800 annual franchise tax. Our flat fees cover the legal work on top of state fees.
Delaware is popular with venture-backed startups because of its well-developed corporate law and investor familiarity. But if you operate in California you’ll still need to register there and pay California taxes, so a Delaware entity isn’t always worth the added cost for smaller businesses.
California doesn’t require you to file one with the state, but every LLC — especially one with multiple members — should have one. It controls ownership, decision-making and what happens if a member leaves; without one, default state rules apply.
With your information in hand, we can have your company ready to operate in as little as 72 hours, subject to state processing times.
California requires LLCs and corporations to file a Statement of Information within 90 days of formation, then every two years for LLCs and every year for corporations, to keep the company’s public record current.
